1. Agreement to These Terms
These Terms of Service govern your use of DataPlan. By accessing or using DataPlan, you agree to these Terms. If you are using DataPlan on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. What DataPlan Provides
DataPlan is a collaborative workspace for creating and maintaining a data plan. Features may include tracking definitions, structured fields, status and workflow metadata, comments, change history, and insights generated from plan data.
3. Account Responsibilities
- You are responsible for maintaining the confidentiality of your login credentials.
- You are responsible for activity in your account and in workspaces you administer.
- You must provide accurate account information and keep it up to date.
4. Acceptable Use
You agree not to misuse DataPlan. This includes, without limitation:
- Attempting to disrupt, probe, or bypass security controls.
- Uploading or transmitting malicious code.
- Using the service to violate law, intellectual property rights, or privacy rights.
- Accessing or attempting to access other users' data without authorization.
5. Customer Content and Ownership
You retain ownership of your content, including tracking plans, event definitions, comments, and related workspace data you submit to DataPlan. You grant DataPlan a limited license to host, process, and display that content solely to operate and improve the service.
6. Collaboration and Workspace Administration
Workspace owners and administrators control member access and permissions. Your organization is responsible for deciding who has access to workspace content and for removing access when no longer appropriate.
7. Subscriptions, Fees, and Billing
Certain features may require a paid subscription. If you purchase a paid plan, you agree to pay applicable fees and taxes. Unless otherwise stated, subscription fees are billed in advance and are non-refundable except where required by law.
8. Service Availability and Changes
We may update, modify, or discontinue features from time to time. While we aim for reliable service, DataPlan is provided on an as-available basis and may be unavailable due to maintenance, outages, or other factors.
9. Data Export and Deletion
You may export your workspace data where export functionality is available. You may delete your account and associated data at any time from the dashboard, but we may retain certain information as required by law or for legitimate business purposes.
10. Intellectual Property
DataPlan, including software, design, branding, and documentation, is owned by DataPlan and protected by intellectual property laws. Except for rights expressly granted in these Terms, no rights are transferred to you.
11. Disclaimers
DataPlan is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
12. Limitation of Liability
To the maximum extent permitted by law, DataPlan and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, or goodwill arising from or related to use of the service.
13. Indemnification
You agree to indemnify and hold harmless DataPlan from claims, liabilities, damages, and costs arising from your use of the service, your content, or your violation of these Terms.
14. Termination
You may stop using DataPlan at any time. We may suspend or terminate access if you violate these Terms or if required to protect the service, users, or legal compliance.
15. Changes to These Terms
We may update these Terms from time to time. If changes are material, we will provide reasonable notice. Your continued use of DataPlan after updated Terms become effective constitutes acceptance of those Terms.
16. Governing Law
These Terms are governed by the laws of your primary operating jurisdiction unless otherwise required by applicable law.
